Terms of Service

Draft — pending legal review. These terms describe how the service actually works, but they have not been reviewed by a qualified adviser and are not legal advice. Have them reviewed before relying on them.

1. These terms

These terms govern your use of ShipRateAPI (the “service”). By creating an account or using the API you agree to them. If you are agreeing on behalf of a company, you confirm you have authority to bind it.

2. The service

ShipRateAPI calculates shipping rates from the configuration you supply — your carriers, zones, and rate tables. We return what your configuration produces for a given basket.

We are not a carrier. We do not carry, handle, or deliver goods, and we do not contract with carriers on your behalf. Delivery estimates are configuration you enter, not a promise from us or from any carrier. Your contract for carriage is with your carrier.

3. Accounts and API keys

You are responsible for keeping your API keys and account credentials secret, and for everything done using them. Each store has one API key; if a key is exposed, rotate it immediately in the admin portal. Tell us promptly if you suspect unauthorised use. You must be at least 18 and provide accurate registration details.

4. Plans, billing, and trials
  • Plans differ by how many stores you may operate: Free (1), Starter (3), Growth (10), and Scale (unlimited).
  • Paid subscriptions are billed in advance through Stripe, monthly or yearly, and renew automatically until cancelled.
  • Starter monthly includes a 30-day free trial. You are not charged during the trial, and can cancel before it ends at no cost.
  • You can cancel at any time. Cancellation takes effect at the end of the period you have paid for; we do not refund part-used periods unless the law requires it.
  • If a payment fails we may suspend access to paid features until it is resolved.
  • Prices exclude VAT and other taxes unless stated. We may change prices on reasonable notice, effective from your next renewal.
5. Fair use

The API is rate limited to protect the service for everyone. You must not attempt to circumvent those limits, probe or disrupt the service, use it unlawfully, or resell raw API access as a competing rate-calculation product. We may apply reasonable technical limits and will tell you if your usage is causing a problem.

6. Your data

Your configuration and account data remain yours. You can export your store configuration at any time from the admin portal. We process personal data as set out in our Privacy Policy. You are responsible for having a lawful basis for any data you send us, and for not sending personal data about your customers beyond what a rate request needs.

7. Availability

We work to keep the service available and reliable, but we do not currently offer a contractual uptime guarantee. We may change, suspend, or withdraw features, and will give reasonable notice of material changes that affect you. Maintenance may occasionally interrupt the service.

8. Warranties and liability

The service is provided “as is”. To the fullest extent the law allows, we exclude implied warranties, and we are not liable for indirect or consequential loss, or for loss of profit, revenue, or data. Our total liability in any 12-month period is limited to the fees you paid us in that period.

Nothing here excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded. Because rates depend on the configuration you enter, you are responsible for checking that your rates are correct before going live — the admin portal provides quote testing and a coverage scanner for exactly this.

9. Suspension and termination

You may close your account at any time. We may suspend or terminate an account that breaches these terms, that we are legally required to act on, or whose payments remain unpaid. On termination your right to use the service stops; export your configuration first if you want to keep it.

10. Changes to these terms

We may update these terms. We will update the date at the top of this page, and tell you directly where a change is significant. Continuing to use the service after a change means you accept it.

11. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
